1. Introduction
Welcome to Travel Shadows. By accessing or using our services, you agree to comply with and be bound by these Terms and Conditions, which are governed by the laws of South Africa. If you do not agree to these terms, you must not use our services. By making a payment on the Travel Shadow website, you agree to be bound by the following terms and conditions in full. If you are making a payment/reservation/booking on behalf of a third party or associate or any other entity you agree that the other party have your consent to register for this service and will be fully bound by these terms and conditions. Your payment constitutes your acceptance and consent to these terms either in your capacity or the capacity of the third party, and you acknowledge that you have read and understood the terms governing your use of our services. If you do not agree to these terms, do not proceed with the payment.
2. Definitions
• "Services": The safety connection services advertised by Travel Shadows, including wearable panic buttons, emergency notifications, location tracking, and access to third-party emergency service providers.
• "Client" or "End User": The individual or entity purchasing or utilizing Travel Shadows' services.
• "Third-Party Providers": External service providers that Travel Shadows connects clients to, such as emergency responders and courier services.
• "Platform": The Travel Shadows website, applications, and any affiliated software.
3. Service Description
Travel Shadows acts as an intermediary, providing access to a platform that connects clients with third-party emergency service providers. Travel Shadows does not directly provide emergency services but facilitates access to them through a third-party back-end application. Travel Shadows does not own, operate, maintain, service, develop or host the platform/application/technology/devices/back-end application that would allow a user to connect to a service. Travel Shadows provides access to private emergency response services, including the dispatch of medical personnel and ambulances in the event of an emergency. The cost of dispatching emergency responders is included in your selected safety package. However, any medical transportation, medical treatment, hospitalization, or any other costs incurred following the emergency response will be the sole responsibility of the user. Travel Shadows does not cover any medical expenses, and we strongly recommend that all travelers have comprehensive travel insurance to cover any additional medical costs.
4. Disclaimer of Liability
• Travel Shadows is not liable for any death, injury, accident, robbery, crime, or loss occurring while using our services or during travel in South Africa to the user/end user or any members of their traveling party
• We do not guarantee the timeliness, accuracy, or effectiveness of third-party services accessed through our platform.
5. Limitation of Liability
To the fullest extent permitted by South African law, Travel Shadows, its officers, employees, agents, and affiliates shall not be liable for any direct, indirect, incidental, or consequential damages arising from:
• The use or inability to use our services.
• Any delay, failure, or defect in services provided by third-party providers.
6. Client Responsibilities
• Clients must provide accurate information, including travel dates, accommodation details, and personal emergency contacts.
• Clients are responsible for the safe use and timely return of any rented equipment, such as panic buttons. Failure to return equipment may result in additional charges.
7. Indemnification
Clients agree to indemnify and hold harmless Travel Shadows, its officers, employees, agents, and affiliates from any claims, demands, actions, costs, and expenses (including legal fees) arising from:
• Misuse of our services.
• Legal actions brought against Travel Shadows due to the client's actions.
• Breaches of these Terms by the client.
8. Legal Costs and Dispute Resolution
• These Terms are governed by the laws of South Africa.
• Any disputes arising under these Terms shall be resolved exclusively in the courts of South Africa.
• Should any legal action, dispute, or litigation arise involving Travel Shadows, the client or end user agrees to fully pay for all associated costs, including but not limited to legal counsel, solicitors, barristers, court costs, and any related legal fees incurred by Travel Shadows.
9. Third-Party Services
• Travel Shadows collaborates with third-party providers to offer back-end services and logistics.
• We do not control or guarantee the performance, accuracy, or reliability of these third-party services.
• Clients acknowledge that third-party providers have their own terms and conditions, which are separate from Travel Shadows' Terms.
10. Cancellation and Refunds
• Services purchased are non-refundable unless otherwise specified in writing by Travel Shadows.
• In the event of cancellation, clients remain responsible for any costs already incurred by Travel Shadows, including setup fees and courier costs.
11. Use of Wearable Panic Buttons
• Panic buttons are provided and must be returned via the included courier package at the end of the rental period.
• Clients agree to pay for the services provided at the agreed upon advertised costs.
• Loss or damage of the panic button will result in additional charges and non refund of the stated deposit amount.
12. Amendments
Travel Shadows reserves the right to amend these Terms at any time. Changes will be posted on our website, and continued use of services constitutes acceptance of the updated Terms.
13. Acceptance of Terms
By purchasing our services, clients acknowledge and agree to these Terms and Conditions in full. By completing a payment, purchasing services, or gaining access to the platform, you, the end user, hereby acknowledge and accept these Terms and Conditions in full. If you are making a purchase or accessing the platform on behalf of another individual, you confirm that you have obtained their full consent to accept and agree to these Terms and Conditions. In the event that a minor (under 18 years of age) uses the service or platform, you, as the guardian, agree to accept and be bound by these Terms and Conditions on their behalf.
The client shall be fully liable for any and all costs incurred due to misuse, negligence, nuisance, or abuse of the services offered. In the event that the client is found to be in breach of any terms or conditions associated with the services provided through the Travel Shadows platform, we, along with our third-party service providers, reserve the right to immediately terminate/revoke/stop access to the platform and any and all services without prior notice. Under no circumstances shall Travel Shadow be obligated to refund, reimburse, or compensate the client or end user for any reason, including but not limited to termination of access or service disruptions.
14. Client Device Requirements and Service Limitations
To ensure the functionality of Travel Shadows' services, clients must meet the following requirements:
• Working Device: The client must possess a functioning smartphone or compatible device capable of downloading, registering, and connecting to the application
• Battery Life: It is the client’s responsibility to maintain sufficient battery life on their device to enable the platform to function as intended.
• Signal Coverage: The service relies on mobile network coverage and/or internet connectivity. Clients must ensure they are in an area with adequate signal strength or Wi-Fi access and Data for the platform to operate.
• Updated Software: Clients must keep their devices and the application updated to the latest version to ensure compatibility and security.
• Notifications and Permissions: Clients must enable relevant device permissions (e.g., location services, notifications) to access all features of the platform.
• Device Loss or Damage: In the event of device loss, theft, or damage, the client may lose access to services. Travel Shadows is not liable for service interruptions caused by such events.
• Panic buttons: It is the clients responsibility to ensure that the device is kept fully charged, not submerged/exposed to water or liquids and to ensure that in order to gain access to certain services, the device must be kept upon them to ensure accuracy of GPS tracking and location services.
Failure to meet these requirements or scenarios such as device malfunction, outdated software, or insufficient connectivity, loss of data, loss of battery power to any device including panic buttons, failure to connect to a service carrier provider network or any other scenario may result in partial or total service disruption or/and the ability to connect to services. Travel Shadows is not liable for any inability to access services due to these or any other limitations. It is the clients/users responsibility to ensure devices, smartphones/applications are in full working order at all times.
By registering as a reseller of Travel Shadows, you agree to comply with the following terms and conditions. These terms apply to tour operators, travel agencies, and independent sellers who promote and sell Travel Shadows’ safety packages.
1. Definitions
“Reseller” – Refers to an approved agency, tour operator, or individual selling Travel Shadows’ products.
“Company” – Refers to Travel Shadows, the provider of travel safety solutions.
“Customer” – Refers to an individual purchasing a Travel Shadows safety package through the Reseller.
“Commission” – The amount payable to the Reseller for each successful sale.
2. Reseller Eligibility
To become a Travel Shadows Reseller, you must:
Be a registered travel agency, tour operator, or independent seller.
Operate in a country/region where you can legally sell travel safety services.
Agree to these terms and actively promote Travel Shadows’ products.
Travel Shadows reserves the right to approve or reject any reseller application at its discretion.
3. Commission Structure & Payments
As a reseller, you will earn a commission based on the product type and package sold:
Essential Safety Pack: Earn 10% commission per sale.
Premier Safety Pack: Earn €15 per sale.
3.1 Payment Terms
Commissions are paid monthly via bank transfer.
Payments are processed within the first 7 business days of the following month.
Only successful transactions (i.e., not refunded or canceled orders) qualify for commission payments.
3.2 Reporting & Tracking
Resellers will receive a monthly sales report detailing commissions earned.
Resellers must ensure customers use their unique reseller code or link for tracking.
Any discrepancies must be reported within 7 days of receiving the sales report.
4. Reseller Responsibilities
As a reseller, you agree to:
Promote Travel Shadows accurately and ethically without misleading claims.
Provide customers with correct package details and answer their questions.
Ensure customers complete their registration after purchase (via the link provided by Travel Shadows).
Follow local laws and regulations regarding travel and safety services.
You may NOT:
Offer discounts or altered pricing without written approval from Travel Shadows.
Misrepresent Travel Shadows’ services, coverage, or capabilities.
Sell Travel Shadows packages bundled with other services without consent.
Use unauthorized marketing materials (modified logos, fake reviews, etc.).
Any violation of these terms may result in immediate termination of reseller status.
5. Marketing & Branding Guidelines
Resellers will have access to official Travel Shadows marketing materials (brochures, digital ads, social media posts).
Travel Shadows reserves the right to request removal of any unauthorized marketing content.
Resellers are encouraged to co-brand their promotions but must not misrepresent the partnership.
6. Order Processing & Customer Support
Resellers do not handle customer payments directly – all purchases must be made via Travel Shadows’ official website.
Once a customer purchases a package, they will receive a registration link via email.
Travel Shadows is responsible for customer support and service delivery after purchase.
If a reseller receives a customer complaint, they must direct the customer to Travel Shadows support.
7. Termination & Modifications
Either party may terminate this agreement with 30 days' notice.
Travel Shadows reserves the right to suspend or terminate a reseller for:
Fraudulent activity or misleading sales tactics.
Failure to generate sales over a 6-month period.
Breach of these terms and conditions.
Travel Shadows may modify these terms with prior notice. Resellers will be informed via email.
8. Limitation of Liability
Travel Shadows is not liable for financial losses incurred by a reseller for any reason whatsoever.
Travel Shadows does not guarantee a minimum income or customer volume.
Resellers cannot make claims on behalf of Travel Shadows beyond approved marketing materials.
9. Agreement & Acceptance
By submitting the reseller registration form and selling Travel Shadows packages, you confirm that you have read, understood, and agree to these terms.
